By accessing or using the Clarity Markets platform ("Clarity," "we," "us," or "our"), including our website at clarity-markets.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the platform.

2. Eligibility

You must be at least 18 years of age to create an account and use Clarity. By using our services, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Responsibilities

When you create an account, you agree to:

4. Platform Subscriptions & Services

Clarity offers the following types of paid services:

• Platform Subscription Tiers — Access to AI-powered research tools, workflows, and enhanced features based on your subscription level (Free, Pro, or Enterprise).
• À La Carte Data Subscriptions — Individual data subscriptions for specific stocks, providing access to premium financial data, SEC filings, and analytics.

Subscription fees are billed through our payment processor, Stripe. By subscribing, you authorize recurring charges until you cancel. You may manage your subscriptions through your account settings or the Stripe customer portal. Refunds are handled on a case-by-case basis.

5. Prediction Markets

Clarity operates simulated prediction markets for educational and informational purposes. These markets use virtual currency ("Clarity Points") and are not real financial instruments. Key points:

• Clarity Points have no real-world monetary value and cannot be exchanged for cash
• Prediction markets are designed to aggregate collective intelligence on future events
• Market prices reflect the community's estimated probability, not financial advice
• We reserve the right to resolve, void, or modify markets at our discretion
• Manipulation of market prices through coordinated activity is prohibited

6. AI Services Disclaimer

Clarity provides AI-powered research tools, workflows, and chat capabilities. AI-generated content is provided for informational purposes only and:

• Should not be considered financial, legal, or investment advice
• May contain inaccuracies or outdated information
• Is not a substitute for professional analysis or independent research
• Usage is subject to rate limits based on your subscription tier

7. Intellectual Property

All content, designs, code, data visualizations, and branding on Clarity are owned by Clarity Markets or its licensors. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

Content you create on the platform (e.g., predictions, workflow configurations) remains yours, but you grant us a non-exclusive, worldwide license to use, display, and process it in connection with providing our services.

8. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to manipulate prediction markets or game platform mechanics
• Scrape, crawl, or harvest data from the platform without authorization
• Interfere with or disrupt the platform's infrastructure
• Create multiple accounts to circumvent usage limits or restrictions
• Impersonate another person or entity

9. Limitation of Liability

To the maximum extent permitted by law, Clarity Markets and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to:

• Investment decisions made based on platform content or AI outputs
• Loss of data, revenue, or profits
• Service interruptions or downtime
• Third-party actions or content

The platform is provided "as is" and "as available" without warranties of any kind, express or implied.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the platform ceases immediately. Any active subscriptions will be canceled, and no refunds will be issued for the remaining subscription period.

11. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform with a revised "Last updated" date. Continued use of the platform after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with applicable rules.
